1. Parties

These terms form an agreement between Noir architects, MB (company code 305904834, VAT number LT100019404015, registered office at Žaibo g. 1, LT-04126 Vilnius, Lithuania; represented by its director David Samveljan; hereinafter ‘Ncored’) and you as a user or organisation (hereinafter ‘User’).

2. Licence

Ncored grants you a personal, non-exclusive, non-transferable licence to use the app under the terms of your chosen plan:

• Individual licence — one user, up to 2 devices.
• Team licence — up to the specified number of users within one organisation. Each user may use the app on up to 2 devices, the same as an individual licence.
• Lifetime licence — one-time payment granting ongoing access to the version of Ncored available at the time of purchase, including all updates, bug fixes, and minor releases within that version, for as long as you use it on a supported operating system. ‘Lifetime’ refers to the operational lifetime of this version of the product, not the lifetime of the buyer, and not the lifetime of Noir architects, MB as a legal entity. Lifetime licences are tied to one user account and are not transferable to third parties.

3. Permitted use

• Opening, viewing, annotating, marking up and printing PDF files
• Exporting annotations in standard PDF format
• Use for both professional and personal purposes

4. Prohibited use

• Decompiling, reverse engineering or attempting to obtain source code
• Removing or modifying copyright and licence notices
• Reselling, renting or sublicensing the app
• Using the app to build directly competing products

5. Payments

All payments are processed by Paddle, acting as Merchant of Record. Paddle issues invoices, calculates VAT and is the legal seller of record.

• 14-day free trial — full functionality, no card details required.
• Monthly subscription — renews automatically. You may cancel at any time; upon cancellation your subscription will remain active until the end of the current billing period and no refund will be issued for the unused portion.
• Annual subscription — renews automatically each year. You may cancel at any time; upon cancellation your subscription will remain active until the end of the paid period and will not renew automatically; no refund will be issued for the remaining period.
• Lifetime licence — a one-time payment, available only during a publicly announced limited offer window. After the offer window closes, lifetime licences are no longer sold. The licence activates immediately after successful payment and remains active for the operational lifetime of the version of the product purchased (see §2 and §9). From time to time we may release a new major version of the product with significant new capabilities. Such future major versions, and any future optional add-on modules (for example, AI features, cloud sync, or team collaboration), may be offered as separate paid products. Your lifetime licence covers the version of the product purchased; it does not include future major versions or future add-on modules.

6. Refunds

All payments are processed by Paddle — our Merchant of Record. Refunds are handled in accordance with Paddle's Refund Policy.

Under Paddle's policy, refund windows vary by region: 14 days for the European Union, United Kingdom, and Switzerland; 7 days for Canada, South Korea, Brazil, and China; 5 days for Singapore. After the applicable refund window closes, Paddle treats transactions as non-refundable except where required by mandatory consumer protection laws. Lifetime licences follow the same Paddle policy.

7. Intellectual property

The Ncored app, code, design, logos and trademarks belong to Noir architects, MB. Your PDF files and documents remain your property. Ncored claims no rights over your document content.

8. Limitation of liability

Ncored is provided "as is". Noir architects, MB is not liable for indirect losses, data loss or damage resulting from misuse. Our maximum aggregate liability shall not exceed the greater of (a) €100, or (b) the amount you paid us — for subscriptions, the amount paid in the preceding 12 months; for lifetime licences, the original purchase price. This cap does not apply to liability that cannot be limited under applicable mandatory consumer protection laws.

9. Service availability and discontinuation

Ncored is provided on an "as is, as available" basis. We do not guarantee uninterrupted operation, compatibility with all future operating-system versions, or the indefinite continuation of any specific feature.

Noir architects, MB reserves the right to discontinue Ncored development, support, or distribution with at least 30 days’ prior notice posted on ncored.com or sent to the registered account email. In such case, all valid refund requests within the applicable Paddle refund window (see §6) will be processed normally; no additional compensation is payable for licences, including lifetime licences, beyond that window.

Like any one-time purchase of digital software, a lifetime licence carries inherent risk: the operational lifetime of the product depends on the continued operation of Noir architects, MB and the continued viability of the underlying operating systems and platforms. We will use reasonable efforts to maintain Ncored, but we cannot guarantee its availability indefinitely.

10. Governing law

These terms are governed by the law of the Republic of Lithuania. If you are a consumer, you may also bring legal proceedings in the courts of your country of habitual residence, and the mandatory consumer protection laws of that country apply to you (see preamble). For other disputes, the courts of Vilnius, Lithuania have exclusive jurisdiction.

These terms are drafted to comply with EU consumer law, including Directive 2011/83/EU (consumer rights) and Directive (EU) 2019/770 (digital content). The EU online dispute resolution platform closed on 20 July 2025; if a complaint cannot be resolved between us, consumers in the EU can turn to the European Consumer Centres Network (ECC-Net), and consumers in Lithuania to the State Consumer Rights Protection Authority (vvtat.lt).
